Terms of Service

Effective Date: January 6, 2026

1. Acceptance of Terms

By accessing or using StageTime (“the Service”), operated by StageTime LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and StageTime LLC.

PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights, including a mandatory arbitration provision and class action waiver in Section 14, and information about fees and charges in Section 6.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

StageTime provides a platform for managing live performance events, including but not limited to:

  • Open mic performer signup and lineup management
  • Ticketed event creation and ticket sales
  • Live show coordination and timing tools
  • Venue management features
  • Push notifications and communications related to events

The Service is provided “as is” and “as available” without warranties of any kind.

3. User Types and Eligibility

The Service serves several types of users:

  • Performers: Individuals who sign up to perform at open mics or other events
  • Ticket Purchasers: Individuals who purchase tickets to events
  • Venue Operators: Businesses or individuals who create and manage venues and events
  • Guests: Unauthenticated users who may sign up for open mics or browse public content

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

4. User Accounts

If you create an account, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate, current, and complete information
  • Promptly updating your information if it changes
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Harass, abuse, threaten, or harm other users, performers, or venue operators
  • Upload malicious code, viruses, or any harmful content
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service, servers, or networks
  • Create multiple accounts to evade bans, restrictions, or abuse promotions
  • Scrape, spider, or harvest data from the Service without written permission
  • Impersonate any person, entity, or misrepresent your affiliation
  • Use automated systems (bots) to interact with the Service without authorization
  • Engage in fraudulent transactions, chargebacks, or payment disputes in bad faith
  • Resell tickets obtained through the Service without venue authorization

6. Fees, Payments, and Billing

IMPORTANT: Please read this section carefully as it describes all fees associated with the Service.

6.1 Ticketing Fees

When you purchase tickets through StageTime, the following fees may apply and are clearly disclosed before you complete your purchase:

  • Platform Service Fee: A flat fee of $0.10 (ten cents) per ticket, which supports the operation and maintenance of the StageTime platform. This fee may be absorbed by the venue or passed to the purchaser, as indicated at checkout.
  • Payment Processing Fee: Approximately 2.9% + $0.30 per transaction, charged by our payment processor (Stripe) to process credit card payments. This is a pass-through cost.
  • Sales Tax: If applicable, sales tax is calculated based on the venue's configured tax rate and jurisdiction requirements.
  • Venue Fees: Venues may add their own fees, which will be clearly labeled and disclosed at checkout.

All fees are clearly itemized and displayed BEFORE you confirm your purchase. The total amount you will be charged is shown on the checkout page prior to payment. By completing a purchase, you acknowledge and agree to pay all disclosed fees.

6.2 Free Services

Signing up for open mics, creating a performer profile, and browsing events are free of charge. No hidden fees apply to these features.

6.3 Venue Operator Fees

Venue operators receive ticket revenue minus applicable fees (platform fee and payment processing). Fee structures are disclosed in the venue management dashboard before ticket sales begin.

6.4 Refunds

Refund policies are set by individual venues and events. Refund eligibility is displayed on each event page. Processing fees are generally non-refundable as they are incurred at the time of transaction. Contact the venue directly for refund requests.

6.5 Fee Changes

We reserve the right to modify our fee structure with 30 days' notice. Any fee changes will not affect tickets already purchased. Continued use of the Service after fee changes take effect constitutes acceptance of the new fees.

7. Communications and Notifications

By using the Service, you consent to receive communications from us, including:

  • Transactional Emails: Order confirmations, ticket delivery, account verification, password resets
  • Service Notifications: Lineup updates, show reminders, performance notifications
  • Push Notifications: Real-time updates about shows and your position in lineups (if enabled)

You may opt out of non-essential communications through your account settings. Transactional communications necessary for the operation of the Service cannot be opted out while you maintain an account.

We do not sell your email address or personal information to third parties for marketing purposes.

8. Venue Operator Responsibilities

Venue operators agree to:

  • Provide accurate venue information, event details, and scheduling
  • Honor tickets sold through the Service
  • Maintain appropriate business licenses and permits
  • Comply with all applicable local, state, and federal laws
  • Use ban and restriction features only for legitimate safety and conduct reasons
  • Collect and remit any applicable sales taxes
  • Maintain a valid Stripe account for receiving payments

Venues are solely responsible for the events they host. StageTime is a technology platform and does not operate, manage, or control venues or events.

9. Content and Intellectual Property

Your Content: You retain ownership of content you upload (profile information, photos, bios, event descriptions). By uploading content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute your content as necessary to provide and promote the Service.

Our Content: The Service, including its design, features, functionality, code, and documentation, is owned by StageTime LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.

10. Privacy and Data

We collect and process personal information as described in our Privacy Policy. By using the Service, you consent to such processing and represent that all data you provide is accurate.

When you sign up for an open mic or purchase tickets, your name and email may be shared with the venue for event management purposes.

We implement reasonable security measures but cannot guarantee absolute security. You acknowledge that you use the Service at your own risk regarding data security.

11. Disclaimers

DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

StageTime does not:

  • Guarantee the accuracy of venue or event information provided by third parties
  • Endorse any venues, performers, or events listed on the platform
  • Control the quality, safety, or legality of events
  • Guarantee that events will occur as scheduled
  • Verify the identity or qualifications of users

12. Limitation of Liability

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAGETIME LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless StageTime LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) your User Content; or (e) your conduct in connection with the Service.

14. Dispute Resolution: Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

14.1 Agreement to Arbitrate

You and StageTime LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any aspect of the relationship between you and StageTime shall be resolved exclusively through final and binding arbitration, rather than in court, except that: (a) you may assert claims in small claims court if your claims qualify; and (b) either party may seek injunctive or other equitable relief in court for claims related to intellectual property infringement.

14.2 Arbitration Rules

Arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in English and will take place in the county where you reside or, at your election, via telephone, video conference, or written submissions. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 CLASS ACTION AND JURY TRIAL WAIVER

YOU AND STAGETIME LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. Unless both you and StageTime agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

YOU ACKNOWLEDGE THAT BY AGREEING TO THESE TERMS, YOU AND STAGETIME LLC ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

14.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@stageti.me within 30 days of first accepting these Terms. Your notice must include your name, mailing address, email address, and a clear statement that you want to opt out of this arbitration agreement. If you opt out, you will still be bound by all other provisions of these Terms.

14.5 Survival

This arbitration agreement shall survive termination of your account or relationship with StageTime.

15. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the “Effective Date” at the top of this page.

Your continued use of the Service after any changes to the Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, limitation of liability, and the dispute resolution provisions.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. The invalidity of any provision shall not affect the validity of the remaining provisions.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and StageTime LLC regarding your use of the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and us.
